Non Exec Directors

IHC Partners

A company must ensure it recruits non-executive directors who complement the balance of skills and experience of the existing management. A non-executive director does not necessarily have to know the industry in which a company is operating, as knowledge and experience should ideally be provided by the executive directors. The value of the non-executive director at every level of the corporate ladder lies in their ability to identify and advise upon new challenges, initiatives and market opportunities, and to develop and refocus strategic plans.  Therefore it is important that non executive directors are chosen on the basis of what they can contribute to the company.

IHC Partner’s non executive director has varied many experience in varied industries and can add value to your organization by:

  • bringing an external, alternative perspective
  • representing shareholder interests
  • questioning, encouraging and monitoring management
  • displaying relevant competency, experience, legitimacy and ethical behavior
  • ensuring proper corporate governance process is followed with integrity, including financial reporting and disclosure and compliance with the law
  • approving overall strategy, budgets and large financial decisions such as capital expenditure
  • participation on the audit committee

As well as providing additional skills, expertise and perspective, the appointment of a non-executive director is an effective means of balancing the interests in the Board room. Non-executive directors bring a level of independence and detachment to discussions.
